Comelf S.A. applies solid corporate governance principles in accordance with applicable legislation, the Bucharest Stock Exchange Corporate Governance Code, and best industry practices.

Corporate governance forms the foundation for ensuring responsible management, transparent decision-making, and the protection of the rights of all our shareholders and investors.

The company’s management structure is organized to guarantee a balance between oversight and operational management, with the involvement of the Board of Directors and the executive management team in clear monitoring, control, and reporting processes.

Chairman of the Board

Constantin Savu

Constantin Savu was born on May 21, 1943, in Bucharest. He holds degrees in technical and economic studies and has completed management and investment courses in both Austria and Romania.

In 1992, he founded UZINSIDER SA, a company focused on the technical, commercial, and financial coordination of the modernization of technological flows at steel plants in Galați, Călărași, Câmpia Turzii, Târgoviște, and Zalău. Until his retirement in 2020, Constantin Savu served as the company’s General Director, and he currently holds the position of Chairman of the Board of Directors.

Throughout his career, he successfully initiated and managed financing contracts for major industrial projects, including the first funding agreement signed with the European Coal and Steel Community in 1994 and the first investment contract financed by EXIMBANK USA for Romania in 1996. He also oversaw the acquisition and integration of key companies, including COMELF Bistrița, UZINSIDER ENGINEERING Galați, and PROMEX Brăila, as well as the development of UZINSIDER TECHNO SA and UZINSIDER GENERAL CONTRACTOR SA.

Under his leadership, the UZINSIDER SA group was awarded the “Industrial and Commercial Merit” Order, Officer grade, in 2013. His work has made a significant contribution to the modernization of the Romanian steel industry and to the development of national industrial equipment and engineering infrastructure.

Board Member

Emanuel Babici

Dr. Eng. Emanuel Babici was born on July 29, 1943, in Baia Mare, Maramureș County. He graduated from the “Gheorghe Șincai” Theoretical High School in Baia Mare in 1962 and from the Bucharest Polytechnic Institute, Faculty of Machine Construction Technology, in 1967. In 1999, he earned a PhD in Engineering from the Technical University of Cluj-Napoca, where he also holds the title of Honorary Professor.

Throughout his career, Emanuel Babici has specialized in the manufacturing of heavy machine tools, high-capacity steam turbines, and equipment for nuclear power plants. He completed specialized training courses in Japan, the USA, and Canada, as well as in management and economic administration.

His professional experience includes roles as engineer and chief engineer at the Heavy Machinery Enterprise (IMGB) in Bucharest, director of IMGB, and general director at the Bucharest Energy and Metallurgical Equipment Plant. Between 1984 and 1990, he represented Romania within INTERATOMENERGO, the union of CMEA member countries specialized in nuclear equipment, and from 1990 to 1991, he served as Deputy Minister and Secretary of State at the Ministry of Industry. Since 1992, he has been active within UZINSIDER SA, where he serves as Director and Vice President.

Emanuel Babici has coordinated numerous industrial modernization projects, including the modernization of EKOSTAHL facilities in Germany, the modernization of TMK steelworks in Reșița and Călărași, the modernization of blast furnaces and the cold strip mill in Galați, and the development of lake and canal dredging systems. He has also led renewable hydro energy projects, completing four small hydropower plants with a total capacity of 7.4 MWh.

For his contributions in the field of environmental engineering, he received the AGIR Award in 2004, and in 2014, UZINSIDER SA was decorated with the Industrial and Commercial Merit Order, Officer grade.

Board Member

Nicolae Cristian Pârvan

Nicolae Cristian Pârvan is a member of the Board of Directors of Comelf SA and one of the most experienced specialists in Romania’s industrial and economic sector, with a career spanning over 50 years in engineering, industrial management, and business representation.

A graduate of the Faculty of Automation at the Bucharest Polytechnic Institute and the Bucharest University of Economic Studies, he has held leadership positions in the steel industry, including General Director of Siderca and Chief Development Engineer at the Călărași Steel Plant.

He has also served in public administration as Subprefect of Călărași County and led the Călărași Chamber of Commerce, Industry, and Agriculture for more than 17 years. He has been President of the Romanian Association for Quality, President of the Romanian Investors’ Employers Association (PIAROM), and Secretary General of the Romanian Businessmen Association, actively contributing to the development of the business environment and the representation of industrial interests at the national level.

Since 2007, he has been a member of the boards of companies within the Uzinsider Group, including Comelf SA and Promex, providing strategic expertise in corporate governance, industry, quality, and investments. He speaks English and French at an intermediate level and holds certifications in management, financial investment evaluation, and consultancy.

Costică T. Mustață

Costică T. Mustață is the General Director of Uzinsider SA and one of Romania’s most experienced specialists in the metallurgical industry and industrial equipment.

With over 40 years of experience in management, engineering, and international trade, he has led industry-specific companies and complex projects across Europe, Asia, Africa, and the Middle East.

He holds a doctoral degree in Materials Science and Engineering from the Polytechnic University of Bucharest, along with numerous executive specializations in business management, quality, and budgeting systems. Under his leadership, companies within the Uzinsider Group have developed strategic partnerships with major industrial corporations such as General Electric, Siemens, ThyssenKrupp, SMS, and Danieli.

He is also active in academia and institutional environments, serving as a member of professional organizations, former President of the Bucharest Chamber of Commerce and Industry, and Associate Faculty at the Polytechnic University of Bucharest. He has received significant distinctions, including the “Industrial and Commercial Merit” Order, Officer grade.

Vlad Sofroni

Vlad Sofroni was born on December 24, 1968, in Romania. He graduated from the “Dunărea de Jos” University of Galați, Faculty of Naval and Electrical Engineering, earning his engineering degree in 1996.

His professional career has been in the metallurgical processing industry, with extensive experience in leading technical and production operations, managing teams, and developing business. Between 1996 and 2002, he worked as a regional representative engineer for Galați and Brăila at SC UZINSIDER SA, and from 2002 to 2018, he held the same role at SC UZINSIDER TECHNO SA, gaining experience in managing commercial and technical relationships with industrial clients and partners.

Since 2018, Vlad Sofroni was appointed Deputy General Director for Technical and Production at SC PROMEX SA, where he oversaw the company’s technical and operational activities. In 2022, he became General Director of SC PROMEX SA, responsible for managing the company’s overall operations, developing business strategy, and supervising industrial projects.

Vlad Sofroni has strong expertise in engineering and industrial management, with experience in leading technical teams, planning and optimizing production processes, as well as managing commercial relationships and developing new projects in the metallurgical and industrial sectors.

Chief Executive Officer (CEO)

Gheorghe Cenușă

Gheorghe Cenușa is one of the most experienced specialists in the equipment and metal structures manufacturing industry, with over four decades of activity at Comelf SA. Since 2017, he has held the position of General Director.

Since 2017, he has held the position of General Director.

He has led and implemented large-scale industrial transformation projects, including the European POSCCE program for modernizing production flows and increasing Comelf’s competitiveness. Throughout his career, he has held key roles such as Deputy General Director, Plant Director, QA Director, and Chief Technologist, directly contributing to the development of the company’s technological capabilities.

He is a Mechanical Engineering graduate from the Technical University of Cluj-Napoca and the Polytechnic Institute of Timișoara. He possesses advanced technical skills and extensive expertise in industrial project management and production flow optimization.

Deputy CEO – Commercial and Quality

Viorel Mircea Pop

Viorel Mircea Pop is the Deputy General Director for Commercial and Quality at Comelf SA, with over 35 years of experience within the company and strong expertise in operational, commercial, and technical management. He oversees sales and procurement activities, negotiation processes, and strategic relationships with international partners, reviewing commercial offers and establishing annual forecasts together with the company’s global clients.

He also leads the Quality Department, ensuring the implementation of standards, supervising control plans, analyzing non-conformities, and preparing internal and external audits.

Previously, he held key positions such as Deputy General Director for Technical and Development and Plant Director, contributing to the modernization of production flows and the expansion of Comelf’s industrial capabilities.

He is a Mechanical Engineer, graduate of the Polytechnic Institute of Cluj-Napoca, and has completed international training courses in quality management, Six Sigma, and industrial marketing. His extensive experience, combined with excellent coordination and leadership skills, positions him as one of the strategic pillars of Comelf SA’s management team.
